Terms of Service

The terms for working with Altruvex: scope and changes, payment, ownership, warranty, and what happens if a project ends early.

Last updated: October 5, 2026

Acceptance of these terms

These terms govern custom project engagements between you ('Client') and Altruvex ('we' or 'us'), and your use of this website. By accepting a proposal or paying the first invoice, you accept them.

Your signed proposal or contract comes first. Where it says something different from these terms, the signed document applies.

What we provide

Altruvex provides four services:

  • Website Design: the structure, screens and design system of a website or web application
  • Website & Web App Development: websites, web applications, online stores, client portals and internal web systems, in Arabic and English
  • Technical Audit: an audit of an existing build that returns written findings
  • Website Maintenance: monthly or yearly plans that keep a live system monitored, updated and fixed

We do not provide:

  • Template-based WordPress or Shopify builds, unless explicitly scoped
  • Third-party software resold as our own
  • 24/7 emergency support, unless a maintenance plan or contract states it
  • Sale of personal data, or use of your data to train AI models

Scope and changes

Scope is set in writing during discovery and confirmed in your proposal. It names:

  • The features, integrations and deliverables
  • The included revision rounds: 3
  • The timeline and key milestones
  • The acceptance criteria

Changes to scope are handled by size:

  • Minor changes (within 5% of the agreed effort) are included
  • Moderate changes (5-25%) need a written change order with its price and the adjusted timeline
  • Major changes (over 25%) are quoted as new work or a second phase

A change to scope is documented and agreed in writing before work on it starts. It is quoted either as a fixed price from the same published ranges, or at 800 EGP per hour, and you approve the quote before any work begins. Revision work beyond the included rounds is billed at 800 EGP per hour. Verbal requests are not binding.

Payment

Custom projects are paid in three parts:

  • Start (50%): secures your build window and begins discovery
  • Milestone (30%): due at a development milestone, as named in your proposal
  • Final (20%): due before launch, prior to deployment to production

Staging and launch:

  • The completed build is delivered for your review on Altruvex staging infrastructure, with the same functionality it will have in production
  • Deployment to your production domain takes place once the final payment clears
  • This is stated here so it is never a surprise at launch: the final payment is what moves a finished build from staging to live

General payment terms:

  • Invoices are due within 7 days unless otherwise agreed
  • Applicable tax treatment will be confirmed in the final proposal and contract
  • A proposal is valid for 30 days from the date of issue
  • Late payments accrue 1.5% monthly interest
  • Invoices are in EGP for clients in Egypt and in USD for international clients
  • Third-party costs (domain, hosting, business email, paid services and APIs) appear on their own lines and are billed separately
  • Maintenance plans are billed monthly or yearly, as your plan states
  • The start payment is non-refundable if you cancel after work begins

We may pause work while an invoice is overdue.

Ownership

When ownership transfers: ownership of the custom project deliverables passes to you once the final payment clears. Until then the build is licensed to you for review only, on Altruvex staging infrastructure (see Section 4). Once it transfers, your ownership is permanent and unconditional: no subscription, licence renewal or continuing payment can revoke it.

You own:

  • The custom source code written for your project
  • Your data, in the databases and storage delivered to you
  • The custom logic and architecture designed for your business
  • The designs and the accounts set up for the project

The handover includes:

  • Complete source code in a Git repository under your control
  • Deployment documentation
  • A guide to environment variables and secrets
  • Database schema and migration history

We keep ownership of our methods, internal tools, and reusable components not built only for your project. Open-source libraries stay under their own licences.

You may modify, deploy and maintain the code as you see fit, subject to those third-party licences.

Warranty

What we commit to:

  • Code built to the engineering standards published on the Standards page
  • The performance targets stated in your proposal, where it states them
  • Deployment and testing before handoff
  • 30 days of post-launch support for critical fixes, unless otherwise agreed

What we cannot guarantee:

  • Uninterrupted access during force majeure, third-party outages or maintenance windows
  • Traffic, conversions or sales from any website or system
  • Compatibility with changes you or others make after delivery
  • Protection from security failures on your side (lost credentials, weak passwords, systems you manage that are not updated)
  • The availability of third-party services such as hosting, payment providers or APIs

After the warranty, ongoing maintenance is your responsibility unless a maintenance plan or contract covers it.

Limitation of liability

To the maximum extent allowed by law:

  • Altruvex's total liability for any claim arising from an engagement is limited to the total fees paid in the 12 months before the claim
  • We are not liable for indirect, incidental, consequential, special or punitive damages, including lost profits, lost data or lost revenue
  • These limits apply even if we were advised that such damages were possible

These limits do not apply to:

  • Gross negligence or wilful misconduct
  • Infringement of intellectual property rights
  • Breach of applicable data protection law

Ending a project

Either party may end the engagement with written notice if:

  • The other party materially breaches these terms and does not fix it within 14 days of written notice
  • The other party becomes insolvent

If you cancel:

  • Before work starts: the start payment is refunded, minus any costs already incurred
  • After work starts: the start payment is non-refundable, and fees for work completed are due
  • We deliver the code and documentation in their current state
  • We have no obligation to complete phases that have not started

If we end it:

  • We may pause work for non-payment, once an invoice is 14 days overdue
  • We may end the engagement after repeated changes requested outside the agreed change process
  • On ending, we deliver all work to date and help with the transition in good faith

Confidentiality

During a project, you may share:

  • Business processes, workflows and strategy
  • Customer or employee data, for system design
  • Financial or operational details

We agree to:

  • Treat this information as confidential
  • Not disclose it to third parties without your consent
  • Use it only to deliver the project
  • Protect it with access controls

We are not liable for information you share:

  • As passwords, API keys or credentials sent in plain text - we will never ask for them that way
  • As unencrypted sensitive data over insecure channels
  • That you do not have the right to share

After the project ends, we keep backups for 30 days for disaster recovery, then delete them. The code itself is yours.

Disputes

If a dispute arises:

  • First step: write to hello@altruvex.com with a description of the issue
  • Negotiation: both parties try to resolve it within 14 days
  • Escalation: if it is not resolved, either party may pursue mediation or arbitration

For clients in Egypt:

  • Egyptian law applies
  • The venue is Cairo, Egypt
  • Local mediation is attempted before litigation

For international clients:

  • Egyptian law applies
  • Disputes go to binding arbitration under the UNCITRAL rules
  • No class actions or class arbitration

Neither party starts legal action before good-faith negotiation has been attempted.

General terms

Entire agreement: These terms, with your signed proposal or contract, are the entire agreement and replace earlier discussions.

Changes to these terms: We may update these terms by publishing a new version here. A signed proposal keeps the terms that applied when it was signed, unless both parties agree otherwise.

Severability: If any provision is invalid, the rest continue to apply.

Assignment: You may not assign your rights under an engagement without our written consent. We may assign ours to a successor company.

Force majeure: Neither party is liable for delays caused by events beyond its control, such as government action, war, natural disaster or pandemics. We will tell you as soon as we can and work to limit the impact.
